Terms of Service

Terms for using Brivium's SaaS tools, business phone features, messaging, subscriptions, portals, AI features, and payments.

1. Agreement

These Terms of Service ("Terms") govern your access to and use of the Brivium software platform, including web and mobile applications, business phone and messaging features, AI-powered features, and related services (the "Service") provided by Brivium, Inc. ("Brivium," "we," "us," or "our"). By creating an account or using the Service, you agree to these Terms and our Privacy Policy. You must be at least 18 years old and have the authority to bind the business on whose behalf you use the Service. The Service is intended for businesses operating in the United States.

2. The Service

Brivium provides software tools for trade and service businesses to manage customers, jobs, quotes, invoices, schedules, team activity, messages, customer portals, payments, and related workflows. Brivium is a software platform only. We are not your contractor, service provider, merchant of record, bank, payment processor, insurer, tax advisor, or legal advisor. You remain responsible for your business, your customers, and compliance with laws applicable to your operations.

3. Accounts and Team Access

You must provide accurate account and business information and maintain the security of your credentials. Workspace owners and administrators are responsible for inviting only authorized team members, assigning appropriate permissions, and ensuring lawful use of the Service by everyone on the account. You are responsible for all activity that occurs under your account.

4. Subscriptions, Free Trial, and Billing

Plans. Brivium offers paid subscription plans (currently Solo, Pro, and Business), each available with monthly or annual billing. Plan features and prices are shown in the app and on our website and may change over time.

Free trial. New workspaces receive a 14-day free trial that starts at signup. No payment method is required to start the trial, and you will not be charged automatically when it ends. To keep using paid features after the trial, you must purchase a subscription.

Auto-renewal. Subscriptions automatically renew at the end of each billing period (monthly or annual) at the then-current price for your plan until you cancel.

App Store purchases. Subscriptions purchased in our iOS app are billed by Apple to your Apple ID. You can manage or cancel them at any time in your App Store account settings (Settings > Apple ID > Subscriptions). To avoid being charged for the next period, cancel at least 24 hours before the current period ends; your Apple ID is charged for renewal within 24 hours before the period ends. Refunds for App Store purchases are handled by Apple under Apple's terms — please submit refund requests to Apple.

Web purchases. Subscriptions purchased on our website are billed through Stripe. You can cancel at any time from Plan & Billing in your account settings; cancellation takes effect at the end of the current billing period, and you keep access to paid features until then. Except where required by law, payments are non-refundable and we do not provide prorated refunds for partial billing periods.

Price changes. If we change subscription prices, we will give you advance notice before the change applies to your subscription (for App Store purchases, in accordance with Apple's policies). If you do not agree to a price change, you may cancel before it takes effect.

Account deletion does not cancel App Store subscriptions. Deleting your Brivium account does not cancel a subscription billed by Apple. Cancel the subscription in your App Store account settings first; otherwise Apple will continue to bill you.

Fees you pay Brivium for the Service are separate from payments your customers make to your business.

5. Customer Content: Ownership and License

"Customer Content" means the business and customer information, contacts, messages, quotes, invoices, jobs, notes, photos, files, recordings, and other records that you and your team submit to or generate through the Service. As between you and Brivium, you own your Customer Content and retain all rights in it.

You grant Brivium a limited, non-exclusive license to host, store, process, transmit, and display Customer Content solely as needed to provide, maintain, secure, and support the Service. Brivium will not sell Customer Content, use it for advertising, or use it to train AI models.

You represent that you have the rights, permissions, and legal basis needed to collect, upload, process, send, and share Customer Content through the Service, including personal information about your customers and contacts.

6. Data Processing

Where Customer Content includes personal information about your customers and contacts, you act as the business or controller of that information and Brivium acts as your service provider or processor. Brivium will:

• Process Customer Content only to provide, maintain, secure, and support the Service in accordance with these Terms and your documented instructions, and not retain, use, or disclose it for any other purpose.
• Not sell or share Customer Content, and not use it for Brivium's own marketing or to train AI models.
• Ensure that personnel with access to Customer Content are bound by confidentiality obligations.
• Engage only the subprocessors identified in our Privacy Policy and require them to protect Customer Content to a substantially similar standard.
• Provide commercially reasonable assistance when you need to respond to consumer privacy rights requests (such as access, correction, or deletion requests) concerning Customer Content.
• Maintain reasonable administrative, technical, and physical safeguards, and notify you if we determine we can no longer meet these obligations.
• Upon termination of your account, delete Customer Content or make it available for export as described in Section 15, subject to any retention required by law.

7. Telephony and Voice

Business phone features are provided through telecommunications partners (including Twilio). Availability, number provisioning, carrier routing, and regulatory registration (such as 10DLC brand and campaign registration) may depend on third-party approval and ongoing compliance. You are solely responsible for how you use calling features, including caller ID presentation, call recording notices and consents, voicemail content, and compliance with the Telephone Consumer Protection Act (TCPA), state telemarketing and call recording laws, carrier policies, and other applicable rules.

When a caller leaves a voicemail on your business line, the voicemail message is recorded and stored so you can listen to it, as described in our Privacy Policy.

On iOS, incoming calls may be delivered through PushKit and CallKit. These mechanisms are used only for real-time call signaling, not for promotional notifications.

8. SMS and Mobile Messaging Program

Businesses on Brivium use their dedicated business phone line to send text messages to their customers through the Service, such as service and scheduling updates, quote and invoice notifications, and replies in ongoing conversations. The following terms apply to recipients of those messages:

Consent. Recipients receive messages only after providing consent to the business that messages them. Consent is not a condition of any purchase.
Message frequency varies.
Message and data rates may apply.
Opt out at any time. Reply STOP to cancel and stop receiving messages. Reply HELP for help.

Opt-out requests are honored, and further messages will not be sent to a number that has opted out (other than a single confirmation of the opt-out). Mobile opt-in information is never shared with or sold to third parties for marketing or promotional purposes, as described in our Privacy Policy. Wireless carriers are not liable for delayed or undelivered messages.

9. Your Messaging Obligations

If you use Brivium's messaging features to text your customers, you are the sender of those messages and you agree to:

• Obtain prior express consent from every recipient before messaging them, and retain proof of each opt-in for as long as the consent remains in effect (at least until the recipient withdraws it).
• Include opt-out instructions (for example, "Reply STOP to opt out") in the first message you send to a recipient.
• Honor STOP, HELP, and other opt-out or assistance requests immediately, and send no further messages to an opted-out number other than a single opt-out confirmation.
• Never message contacts from purchased, rented, or transferred lists — consent cannot be bought, sold, rented, or transferred.
• Not send content prohibited by carriers or our telecommunications partners, including SHAFT-category content (sex, hate, alcohol, firearms, tobacco) and other restricted categories.
• Comply with the TCPA, state messaging laws, CTIA guidelines, carrier policies, and the messaging policies of our telecommunications partners.

We may suspend or restrict messaging features, campaigns, or accounts that violate these obligations, including where required by carriers or our partners.

10. Acceptable Use

You may not misuse the Service or use it unlawfully. Prohibited conduct includes, without limitation:

• Illegal robocalling, spam calling, or unsolicited bulk voice or SMS campaigns without required consent.
• Sending deceptive, harassing, abusive, or fraudulent communications.
• Impersonating others or misrepresenting your identity or affiliation.
• Interfering with the Service, attempting unauthorized access, or uploading malicious code.
• Violating intellectual property, privacy, or other third-party rights.
• Using the Service for high-risk or prohibited industries where not permitted by our providers.

We may investigate violations and suspend or terminate access to protect users, partners, carriers, and the Service.

11. AI Features

The Service includes AI-powered features (such as the AI Coach) that generate responses and insights using artificial intelligence models. AI-generated output may be inaccurate, incomplete, or outdated, and it is not professional, legal, financial, tax, or accounting advice. Review AI output and use your own judgment before acting on it or sharing it with your customers. AI features are provided as part of the Service and are subject to the disclaimers in Section 16. Our use of AI providers is described in our Privacy Policy.

12. Customer Payments

Brivium may help your business request or collect payments from customers for quotes, deposits, invoices, and related services. Payment processing is provided by Stripe (including Stripe Connect) or another third-party processor. You are responsible for the goods and services you sell, customer relationships, amounts charged, refunds, chargebacks, disputes, taxes, and promises made to customers. 13. Third-Party Services

The Service integrates with third parties such as Supabase, Twilio, Stripe, Apple, Google, email providers, maps, analytics tools, and device platform services. Third-party services have their own terms, privacy policies, fees, availability, and restrictions. Brivium is not responsible for third-party services outside our reasonable control.

14. Availability and Changes to the Service

We may update, improve, suspend, or discontinue parts of the Service, including telephony features, with or without notice where permitted by law. We do not guarantee uninterrupted availability. We may suspend or terminate access if you violate these Terms, create risk for the Service, or fail to pay applicable fees.

15. Termination and Your Data

You may stop using Brivium at any time. You can permanently delete your account and workspace from Account settings in the app or on the web — no phone call or support ticket is required.

Deletion is permanent. Deleting your account permanently removes your workspace and its Customer Content, including customers, quotes, invoices, jobs, messages, and files. This cannot be undone, so export any data you need before deleting your account.

Post-termination retention. After deletion or termination, we retain only the limited records described in our Privacy Policy, such as residual copies in backups for a limited period and billing, telephony, or other records we are legally required to keep.

Apple subscriptions. Deleting your account does not cancel a subscription billed by Apple. Cancel it in your App Store account settings before deleting your account; otherwise Apple will continue to bill your Apple ID.

16. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Brivium does not warrant that the Service will be error-free, secure, or uninterrupted, that AI-generated output will be accurate or reliable, or that telephony or payment features will meet your regulatory or business requirements.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BRIVIUM AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO BRIVIUM FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (USD $100).

Brivium is not responsible for your services, project outcomes, customer claims, payment disputes, chargebacks, taxes, refunds, carrier outages, or losses caused by third-party providers.

18. Indemnification

You agree to defend, indemnify, and hold harmless Brivium and its affiliates from claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your Customer Content, your telephony or messaging activity (including any failure to obtain or retain required consent), your customer relationships, or your violation of these Terms or applicable law.

19. Governing Law and Disputes

These Terms are governed by the laws of the State of North Carolina, United States, without regard to conflict-of-law principles. Except where prohibited, you agree that disputes arising from these Terms or the Service will be brought in the state or federal courts located in Mecklenburg County, North Carolina, and you consent to their jurisdiction.

20. Changes to These Terms

We may modify these Terms from time to time. We will post updated Terms on this page and update the "Last updated" date. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms where permitted by law.
